Terms of Service

Welcome to 301digi. By using our services, you agree to these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between you (“Client”) and 301digi (“Company”). Please read them carefully.

1. Services Provided

Design, Development, and Maintenance Package

We offer a comprehensive package that includes:

  • Website Design and Development: Creating a customized website tailored to your business needs, including revisions.

  • Website Hosting and Maintenance: Ongoing support to ensure your website remains functional, secure, and up-to-date.

What is Included:

  • Consultation and guidance on website use.

  • Regular monitoring and updates to ensure performance across major browsers.

  • Security measures to protect your website from unauthorized access.

  • Regular backups for data recovery.

  • Assistance with hosting issues to minimize downtime.

  • Updates to plugins and software to ensure compatibility.

  • Minor content and design updates, not exceeding 50% of a single page.

What is Not Included:

  • Major website redesign or re-development (exceeding 50% changes). Or any changes going over the maximum hours of content and design updates specified in the package.

  • Additional services not outlined above, which require a separate agreement.

2. Payment Terms

  • The initial cost for website design and development is calculated per page. Payment can be split into two parts: 50% due upfront and the remaining 50% upon completion, if requested.

  • A monthly fee is charged for website hosting, cyber-security, and maintenance. This fee includes ongoing support as described in the services section. 

  • Additional work outside the scope of the agreement will be billed at the hourly rate of $50 per hour.

  • Payment is due on the first of each month thereafter.

  • Payments are non-refundable, including partial months in the event of termination.

3. Termination

  • Either party may terminate this agreement at any time by providing written notice.

  • Upon termination, the Client will no longer be entitled to services and must settle any outstanding balances.

  • If another party modifies the website, we reserve the right to charge for repairs resulting from these changes.

4. Deadlines and Deliverables

  • We will respond to maintenance requests within 24 hours on weekdays and not on weekends.

  • Completion timelines for maintenance or development tasks will be provided upon request submission.

  • Delays caused by factors outside our control (e.g., late content delivery from the Client) are not considered a breach of this agreement.

5. Intellectual Property

  • The Client retains ownership of all website content provided to us.

  • Upon full payment, the Client owns the website design and assets delivered by us.

  • Each party guarantees that any materials provided are free from third-party claims.

6. Confidentiality

Both parties agree to keep confidential any information marked as confidential and use it solely for the purpose of this agreement.

7. Limitation of Liability

  • We are not liable for indirect, incidental, or consequential damages.

  • Our liability is limited to the amount paid by the Client for services in the three months preceding any claim.

8. Force Majeure

We are not responsible for delays or failures due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, or internet outages.

9. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the State of North Carolina, USA.

  • Disputes will first be attempted to be resolved through mediation. If unresolved, disputes may proceed to arbitration or litigation in Mecklenburg County, North Carolina.

10. Changes to Terms

We may update these Terms from time to time. Clients will be notified of significant changes.

11. Acceptance of Terms

By engaging our services, you acknowledge that you have read, understood, and agree to these Terms of Service.
